Private Equity Fund Raising

Private funding, or capital raising for a non-listed company, is a process by which a company seeks to raise funds from a limited number of venture capital firms, private equity firms, or other institutional investors. This is a first step for a company that we still consider to be too early in its development for the financial markets. 
Private funding provides an opportunity for the company to structure itself and deliver the necessary years of solid results before potentially pursuing an IPO. This approach gives the company the flexibility to choose the timing that best aligns with its growth trajectory and strategic goals.

Initial Public Offering

An Initial Public Offering (IPO) is the process through which a private company offers its shares to the public for the first time. In so doing, the company transitions from being privately owned to being publicly traded on a stock exchange. This allows the company to raise capital to support its growth by selling new shares to investors, but it also provides liquidity for existing shareholders.

Capital Increase

A capital increase, or equity offering, is a corporate action through which a publicly traded company raises funds by issuing new shares to existing and new shareholders. The primary purposes of a capital increase are usually to strengthen the company's balance sheet, support growth initiatives, finance acquisitions, or reduce debt. When a company decides to increase its capital, it may offer new shares to the public through a private placement or public offering, or it may issue shares to existing shareholders through a rights issue.

Secondary Offering

A secondary offering, also known as follow-on offering, is a non-dilutive process through which a publicly traded company sells existing shares of its stock, usually held by historical shareholders, such as founders, employees, or early investors. The proceeds from a secondary offering go to the selling shareholders and not to the company itself. 
TP ICAP Midcap facilitates the partial/total exit of existing shareholders in blocks or through a more organised placement via Accelerated Book Building to minimise the impact on the share price. These transactions can represent several months' trading in a single day and are executed successfully due to the expertise and dedication of our sales team.

Takeover

TP ICAP Midcap supports takeover bids by providing guidance on structuring, valuation, presentation and follow-up interaction with the Regulator, and share repurchases on Euronext as an active market member.
